Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and [YOUR LEGAL NAME], an individual sole trader (egyéni vállalkozó) registered in Hungary (registration number [REGISTRATION NUMBER], tax number [TAX NUMBER], address [YOUR ADDRESS]), trading as GG’S — Grind & Growth Society (“GG’S”, “we”, “us”, “our”).

These Terms govern your access to and use of the GG’S mobile application, the website at [YOUR WEBSITE], and any related services (together, the “Service”). By creating an account or otherwise using the Service you confirm that you have read, understood and agreed to these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract under Hungarian and EU law to use the Service. By using the Service you represent that you meet this requirement.

The Service is intended for residents of and visitors to Hungary, in particular Budapest. We make no representation that the Service is appropriate or available for use in other locations.

2. The Service

GG’S is a private, members-only community for fitness, training and lifestyle activities. Through the Service you can:

View and join scheduled training sessions (“Activities”) such as runs, HYROX, yoga and mobility sessions;

Browse and attend community events (“Events”) such as coffees, hikes and dinners;

Watch on-demand recorded content (e.g. yoga and mobility sessions) where made available;

Communicate with other members in the in-app chat;

Sync sessions with your device calendar (Google Calendar / Apple Calendar);

Connect a Strava account to log activity.

GG’S is a community service. It is not a personal training service, a medical service, or a substitute for professional advice. You participate in physical activities at your own risk (see §10).

3. Account registration

To use most features you must create an account using a supported sign-in method (Google, or email and password). You agree to:

Provide accurate and up-to-date information during onboarding;

Keep your sign-in credentials confidential;

Notify us promptly at [YOUR EMAIL] of any unauthorised use of your account;

Be responsible for all activity that occurs under your account.

We may refuse, suspend or terminate accounts that, in our reasonable judgement, breach these Terms.

4. Membership and subscription

4.1 Pricing

Access to Activities, on-demand video sessions and certain features requires an active paid membership (“Membership”).

Standard Membership: 44,990 HUF / month.

Founding Member rate (first 15 members): the founding rate is locked for the duration of continuous membership.

Prices include applicable Hungarian VAT.

4.2 Auto-renewal

Memberships are recurring monthly subscriptions that automatically renew at the end of each billing period unless cancelled before the renewal date. Your chosen payment method will be charged automatically on each renewal at the then-current price.

4.3 Payment processor

Payments on the web are processed by Stripe Payments Europe, Ltd. (“Stripe”). Where you subscribe through Apple’s App Store or Google Play, the in-app purchase is processed by Apple or Google respectively, and Apple’s or Google’s standard subscription terms also apply (including their cancellation and refund policies).

We do not receive or store full card numbers.

4.4 Cancellation

You may cancel your Membership at any time:

For web subscriptions, from Profile → Settings, or by emailing [YOUR EMAIL];

For App Store subscriptions, from your iPhone Settings → Apple ID → Subscriptions;

For Google Play subscriptions, from the Google Play Store app → Subscriptions.

Cancellation takes effect at the end of the current paid period. You retain access until then.

4.5 Refunds

Hungarian and EU consumer law gives you a 14-day right of withdrawal for distance contracts. By tapping the subscribe / “I’M IN” button and starting your Membership you expressly request that the Service be made available immediately and acknowledge that, once you have begun consuming the digital service (e.g. joining a session or watching a video), you lose the right of withdrawal for any portion of the service already provided to you.

Outside this and statutory rights, fees are non-refundable. Where you subscribed through Apple or Google, refund requests must be made through them.

4.6 Price changes

We may change Membership prices on at least 30 days’ written notice (e.g. by email or in-app notification). Founding Member rates are excluded from such changes for as long as your Membership remains continuously active.

5. Acceptable use

When you use the Service you agree not to:

Use the Service for any unlawful, fraudulent, harmful, threatening, harassing, defamatory or hateful purpose;

Impersonate another person or misrepresent your affiliation;

Post sexual, violent, discriminatory or otherwise inappropriate content in chat or any community space;

Solicit, advertise or recruit other members for unrelated commercial purposes without our written permission;

Attempt to circumvent the Membership paywall or any access controls;

Probe, scan, reverse-engineer, decompile or interfere with the Service or its security;

Use bots, scrapers or any automated means to access the Service;

Upload viruses, malware or any code designed to disrupt the Service or other users’ devices.

We reserve the right to remove content that breaches these Terms and to suspend or terminate accounts that do.

6. User content

When you post messages in chat, upload an avatar, or otherwise contribute content (your “User Content”), you keep ownership of that content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and display your User Content for the sole purpose of operating and providing the Service to you and other members.

You are solely responsible for your User Content and for ensuring you have the rights to share it. You can delete your messages from the chat thread at any time. Deleting your account removes your User Content from the Service (see §11.2).

7. Physical activity, health and safety

Participation in any GG’S Activity, Event or video session is entirely at your own risk. You are responsible for:

Confirming with a qualified medical professional that you are fit to participate before joining any physical activity;

Following all reasonable safety instructions given by trainers or organisers;

Bringing appropriate clothing, footwear, hydration and equipment;

Stopping any activity that you find painful, unsafe or beyond your physical condition.

GG’S does not provide medical, dietary or therapeutic advice. The Service is not a medical device.

8. Third-party services and integrations

The Service relies on third-party providers (including Supabase, Stripe, Strava, Google and Apple). Your use of these integrations is subject to those providers’ own terms and privacy policies. We are not responsible for the availability, accuracy or content of third-party services.

If you choose to connect Strava or your device calendar, you authorise us to read and write data on your behalf for the purposes described in our Privacy Policy.

9. Intellectual property

The Service, including its software, design, branding, logos, text, photographs and video content, is owned by us or our licensors and is protected by Hungarian, EU and international intellectual property law. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service strictly for your own non-commercial use as a member.

You may not copy, redistribute, modify, broadcast or create derivative works from any GG’S content (including video sessions) without our prior written consent.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Hungarian or EU consumer law.

11. Liability

11.1 Limitation

Subject to §10 and to the extent permitted by law, our total aggregate liability arising out of or in connection with the Service in any rolling twelve-month period is limited to the total Membership fees you actually paid us during that period.

We are not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data, lost goodwill, or business interruption, even if advised of the possibility of such damages.

11.2 Account termination

We may suspend or terminate your account, with or without notice, if you breach these Terms or if continuing to provide the Service to you would expose us or other members to legal or safety risk. You may close your account at any time from Profile → Settings → Delete account. Account deletion is permanent and removes your profile, registrations, chat messages and activity log.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which forms part of these Terms.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept, you must stop using the Service and may cancel your Membership.

14. Governing law and disputes

These Terms are governed by the laws of Hungary, without regard to conflict-of-law rules. Mandatory consumer-protection provisions of the country in which you reside continue to apply.

We will try to resolve any dispute amicably. If we cannot, the courts of Budapest, Hungary have non-exclusive jurisdiction, subject to any rights you have under Regulation (EU) No 1215/2012.

If you are an EU consumer, you may also use the European Commission’s Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

15. Apple App Store — additional terms

Where you obtained the Service from Apple’s App Store, you acknowledge that:

These Terms are between you and us only — not with Apple. Apple is not responsible for the Service or its content.

Apple has no obligation to provide maintenance and support.

In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation.

Claims relating to the Service (product liability, legal compliance, consumer protection) are our responsibility, not Apple’s.

Third-party intellectual property infringement claims relating to the Service will be handled by us, not Apple.

You represent that you are not located in a country subject to a US Government embargo and are not on any US Government restricted-parties list.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
